Terms of Use for Quicopt

In case of doubt, the German version applies.

1. Provider and scope

These terms of use govern the use of Quicopt (“the service”) of Quicopt GbR, Altermarkt 8, 52441 Linnich, Germany (“we”). This includes your account on platform.quicopt.com and the use of our optimisation service with your personal API key.

The service is intended exclusively for businesses, public authorities and research institutions and for persons using it in the course of their professional activity. Consumers within the meaning of § 13 BGB may not use the service.

2. Conclusion of the contract

The contract of use is concluded when you sign up, open the link in our confirmation email and set your password. You then receive your API key by email. There is no entitlement to conclude the contract.

3. Consideration

The service is free of charge. In return, you consent at sign-up that we send you emails with news, tips, events and offers and analyse your usage, as described in the consent text and in section 5 of the privacy policy.

If you withdraw this consent, free access and thus this contract end; we then delete your account. On request to datenschutz@quicopt.com we set up an ad-free access for you.

4. Subject of the service

The service lets you submit optimisation models and have them solved, to try out our optimisation methods and for your own research and development.

Free access and evaluation access. With free access you can solve models with up to 50 variables, in every model class. On request we give you evaluation access for 30 days, in which this limit does not apply; after that, free access applies again. There is no entitlement to evaluation access.

We provide the service without any commitment on availability, functionality or results and without a service level. We may limit scope, compute time and number of calls, and change, restrict or discontinue the service in whole or in part.

5. Account, password and API key

Your account and API key are assigned to you personally. Keep your password and key secret and do not share them with third parties. Do not offer the service to third parties, for example through your own interface.

If you have lost your key or suspect that third parties know it, write to datenschutz@quicopt.com. We will then block it and send you a new one.

We may block access if the service is misused, if its operation is impaired or if these terms are violated.

6. Permitted use

It is not permitted to

• submit unlawful content or content that infringes the rights of third parties;
• deliberately impair the availability of the service, for example through load or penetration tests without prior agreement;
• circumvent technical protection or limitation mechanisms, for example by using several accounts;
• resell the service or offer it to third parties as your own service.

7. Submitted models and results

Your rights remain yours. You retain all rights to the models and data you submit.

What you permit us to do. You grant us the simple, non-transferable right to store and use the submitted models, results and solver logs for 24 months to analyse, test and improve our optimisation methods and services, and to analyse your usage as described in the privacy policy.

Confidentiality. We do not pass submitted content on to third parties and do not publish it. If we report on the use of the service, for example on problem sizes or model classes, we do so in aggregated form without reference to individual users.

What you should not submit. The service is not designed for personal, particularly sensitive or security-relevant data. You are responsible for being entitled to submit the content.

8. Liability

Results of the service are provided without warranty. They may be inaccurate, not optimal or unusable; check them before basing decisions on them.

As the service is free of charge, we are liable only for intent and gross negligence. Liability for injury to life, body or health and under the Product Liability Act remains unaffected.

9. Term and termination

The contract runs for an indefinite period. You may terminate it at any time without notice by writing to datenschutz@quicopt.com; we then delete your account. We may terminate the contract by email with two weeks' notice, and without notice for good cause, for example for violations of section 6.

10. Changes

We may change these terms of use if the service evolves or legal requirements change. We notify you of changes by email at least four weeks before they take effect. If you do not object by then, the changes are deemed accepted; we point out this consequence in the notification. If you object, either party may terminate the contract as of the effective date.

11. Applicable law and place of jurisdiction

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes with merchants, legal entities under public law and special funds under public law is the registered office of Quicopt GbR.
